Capital Markets Board Updates Professional Client and Qualified Investor Requirements
The Capital Markets Board updated the requirements for becoming a professional client and qualified investor, raising the financial asset and transaction volume criteria.
The Capital Markets Board (CMB), at its meeting dated October 26, 2026, introduced changes to the requirements for becoming a professional client and qualified investor. The financial asset and transaction volume criteria in regulations concerning investment institutions were increased fivefold.
According to the new regulation, the financial asset requirement of 10 million TL for investors wishing to be accepted as professional clients upon request was increased to 50 million TL, and the transaction volume requirement of 5 million TL was raised to 25 million TL. Thus, a 400 percent increase was realized in both criteria, and the amounts stipulated for legal entities to be considered professional clients were readjusted accordingly.
In line with references made to professional investor regulations, the Board also updated the qualified investor requirements set forth in various communiqués. Furthermore, the exemption introduced for qualified investors—to whom participation shares of real estate investment funds and venture capital investment funds would be sold—by the Principle Decision dated December 18, 2025, has been lifted.
