Capital Markets Board Approves Capital Increases of Two Companies
In its weekly bulletin, the CMB approved the bonus issue capital increases of Kiler Holding and Ayes Çelik Hasır, authorized various issuances, and announced administrative fines.
The Capital Markets Board published its weekly bulletin, sharing with the public its decisions regarding companies' capital increases, issuance applications, fines imposed on stakeholders, and merger requests.
Bonus Issue Capital Increases
The Capital Markets Board approved the request of Kiler Holding AŞ for a bonus issue capital increase of 1.3 billion liras, within the scope of raising its capital from 1 billion 625 million liras to 2 billion 925 million liras.
The Board also approved the application of Ayes Çelik Hasır ve Çit Sanayi AŞ for a bonus issue increase of 350 million liras to raise its capital from 150 million liras to 500 million liras.
Issuance and Application Approvals
Within the scope of the Board's decisions, Akademi Çevre Entegre Atık Yönetimi Endüstri AŞ was authorized to issue bonds and financing bills amounting to 400 million liras.
The application by Emlak Varlık Kiralama AŞ for the issuance of lease certificates and asset-backed securities totaling 5 billion liras was also deemed appropriate by the Board.
Administrative Fines
Significant sanctions were implemented as a result of the investigations conducted regarding Hidropar Hareket Kontrol Teknolojileri Merkezi Sanayi ve Ticaret AŞ. The Board imposed a total administrative fine of 71 million 26 thousand 385 liras on 3 real persons and 1 legal entity.
Partnership and Merger Transactions
The Board announced that it viewed favorably the request by Neta Menkul Değerler AŞ regarding the change in its partnership structure and capital increase.
The announcement text regarding the simplified merger transaction, through which Rönesans Gayrimenkul Yatırım AŞ will acquire Cevizli Gayrimenkul Yatırım İnşaat Turizm Sanayi ve Ticaret AŞ—of which it owns all the shares—was approved.
