New Shareholding and Free Float Regulation from the Capital Markets Board

In line with the new principle decisions published by the Capital Markets Board, the shareholding notification thresholds for companies traded on Borsa Istanbul have been lowered to 3 percent, while the calculation method for shares in free float has been redefined.

Scope of New Decisions and Transition Date

The principle decisions included in the bulletin of the Capital Markets Board dated September 8, 2026, contain important changes closely concerning companies traded on Borsa Istanbul and investors.

It was reported that these new regulations will officially start to be implemented as of September 11, 2026.

Shareholding Notification Threshold Changed

With the regulation, the notification lower limit applicable to changes in the shares or voting rights of issuers traded on the stock exchange was reduced from 5 percent to 3 percent.

This rate reduction will be valid as of the end of the day on September 11, 2026, and will be taken as a basis in disclosures to be made by investors.

Central Registry Agency Tables Being Reshaped

The scope of the shareholding tables published by the CRA has been reshaped from top to bottom to comply with the new regulations.

Instant updates will be made by creating separate tables for real and legal persons who directly or indirectly own shares at certain rates.

Free Float Share Calculation Method

The concept of free float shares, which expresses the public offering ratios of companies traded on the Borsa Istanbul Equity Market, has been redefined.

According to the new method, the ratio will be calculated by dividing it by the total number of shares that can be monitored by the CRA.

Repealed Old Decisions

The CMB announced that it has repealed some of its principle decisions taken in past years in order to ensure compliance with the newly introduced regulations.

In this context, a total of five different Board Decision Body decisions belonging to the years 2010, 2011, 2014, and 2026 were revoked.
