The Reserve Bank of India has rejected the application by the major conglomerate Tata Sons to withdraw from its core investment company status and cancel its registration in order to avoid the mandatory initial public offering requirement.

Attempt to Avoid IPO

The Reserve Bank of India did not approve the registration cancellation application made by Tata Sons to remain an unlisted company.

The company aimed to avoid the obligations brought by existing regulations by being removed from its core investment company status.

Regulations and Classification

Tata Sons, the holding company of the Tata Group, is classified as an upper-layer non-banking financial company under central bank regulations.

Under relevant rules, companies of a certain size and with access to public funds have an obligation to be listed on the stock exchange.

Company Assets and Giants Within Its Structure

It was stated that the standalone assets of Tata Sons stood at 1.75 trillion rupees as of March 2025, and the company operates in the IT, steel, hospitality, and aviation sectors.

Major brands of the group such as Tata Consultancy Services, Tata Motors, Tata Steel, and Air India are housed within the company.

Stock Market Pressure and Stakeholders' Stance

This decision by the central bank is expected to increase the stock market listing pressure on the company, which has not been floated on the stock exchange until now.

Additionally, it is stated that the Shapoorji Pallonji Group, the company's second-largest shareholder, is among the stakeholders supporting the IPO.
