AI company Anthropic, preparing for an IPO, has proposed a new governance structure to manage the conflict between investors' short-term profit expectations and the company's safety-focused public benefit mission.

Elizabeth Pollman, a law professor at the University of Pennsylvania, stated that Anthropic has designed a founder-focused and mission-centered structure for its IPO that has not been used before. In this model, four members of the seven-person board of directors will be appointed by a 'long-term benefit trust' consisting of five independent trustees with expertise in areas such as AI safety, national security, and public policy.

The company grants the trust the authority to appoint or remove board members through 'Class T' shares. Additionally, a structure called 'Founder LLC' holds 50.1% of the voting power in shareholder decisions, allowing the founders to block or force strategic decisions. The founders include Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish, and Christopher Olah.

Assessment: Legal experts state that this arrangement offers a strong mechanism to protect the company from market pressures, but uncertainties regarding capital needs and the potential departure of founders from the company in the future remain.
