The founders of artificial intelligence startup Anthropic are requesting the approval of a special share structure to maintain managerial control of the company ahead of a future IPO process.

Special Voting Rights Request

Anthropic's founders have taken a new step, stating that they want to maintain management even after the IPO process. CEO Dario Amodei and six co-founders aim to have a total of 50.1 percent voting control in critical corporate decisions of the company.

Share Structure and Similar Examples

This proposed model is not the first time being applied in the tech world; similar super-voting structures have previously been used by founders of tech giants like Meta and Snap. The newly issued special shares do not carry any additional economic value.

Governance and Trust Structure

While it is known that each of the seven co-founders holds approximately 2 percent of the shares, the founders have committed to donating 80 percent of their wealth. Anthropic's Long-Term Benefit Trust will continue to appoint the majority of the board of directors.
