Following the completion of necessary administrative approvals and share transfer conditions, Pegasus Airlines acquired 100 percent of the Smartwings Group for 142 million 291 thousand 526 euros.

Details of the Acquisition

According to the official statement made by Pegasus to the Public Disclosure Platform (KAP), the acquisition was successfully completed on October 1, 2026.

The total cost of the transaction was announced as 142 million 291 thousand 526 euros, including receivables to be taken over from previous shareholders.

Distribution of Group Shares

Within the scope of the transaction, Pegasus directly acquired 70 percent of the shares of the group consisting of České aerolinie, Czech Airlines, Smartwings, and its subsidiaries.

The remaining 30 percent was acquired indirectly, making it the sole owner of the entire Smartwings Group.

Financial Ratios and Share Price

The purchase price per share in the completed transfer transaction was determined and recorded as 71.15 euros.

It was determined that the total transaction value corresponds to 4.2 percent of the company's revenue in its latest annual financial statements.

Fleet and Order Status

Following this acquisition move, Pegasus, whose total number of aircraft exceeded 175, reached a significant position in the fleets of the two airlines.
