Criminal complaint from Metro Holding against Tera executives and Vanet management

Metro Ticari ve Mali Yatırımlar Holding has filed a criminal complaint with the Istanbul Chief Public Prosecutor's Office regarding the management of Vanet A.Ş., which is traded on Borsa Istanbul, and officials of the Tera group.

KAP Disclosure and Legal Process

Metro Ticari ve Mali Yatırımlar Holding Ticaret A.Ş. shared the legal process initiated regarding Vanet A.Ş. with the public in a statement made via the Public Disclosure Platform (KAP).

In the official information provided by the company, it was stated that applications were made to judicial authorities as a result of the investigations carried out and the details of the process were shared.

Targets of the Criminal Complaint

Within the scope of the criminal complaint, current Vanet A.Ş. board members and certain identified shareholders were targeted.

In addition, officials of Tera Portföy Üçüncü Hisse Senedi Serbest Fon, Tera Portföy Yönetim A.Ş., Tera Finansal Yatırım Holding A.Ş., and managers of Tera Yatırım Menkul Değerler A.Ş. were among those complained against.

Proxy Collection Allegations

Metro Holding also brought to justice individuals who collected proxies in an unusual manner from different places during past general assemblies.

It was requested that the participation processes of these individuals in general assemblies be examined and that legal action be taken in accordance with the relevant articles of the Capital Market Law.

Intervention in the Prosecutor's Office Investigation

It was reported that the criminal complaint file was assigned to the Organized Crime Bureau of the Istanbul Chief Public Prosecutor's Office.

On the other hand, it was noted that Metro Holding has also intervened in the fund-related investigations conducted by the Istanbul Chief Public Prosecutor's Office.
