The Capital Markets Board approved Hektaş Ticaret Türk AŞ's application for a capital increase through a private placement. The 2.38 billion lira capital advance paid by OYAK General Directorate will be converted into the company's capital.
Approval of Capital Increase via Private Placement
The Capital Markets Board evaluated and positively concluded Hektaş Ticaret Türk AŞ's application for a capital increase through a private placement within the framework of certain conditions.
Capital and Share Distribution Details
Hektaş decided to increase its issued capital of 8.43 billion TL, which is within the registered capital ceiling of 25 billion TL, by restricting the pre-emptive rights of shareholders.
The new shares to be issued in this capital increase will be allocated directly to the OYAK General Directorate via private placement.
Conversion of Capital Advance
The main basis of the transaction is the capital advance amounting to 2.38 billion Turkish Liras previously paid to Hektaş by the OYAK General Directorate.
Within this scope, new Hektaş shares will be issued in order to convert the funds transferred by OYAK to the company into capital.
Share Price and Transactions on the Stock Exchange
The nominal amount of the shares to be issued will be calculated based on the share sale price determined within the framework of Borsa İstanbul's wholesale purchase and sale procedures.
The CMB introduced a certain lower limit condition for the share price to be applied in the private placement and requested that the process be carried out according to this rule.
Price Conditions and Finalization of Issuance
The sale price shall not be lower than the higher of 3.39 TL applicable for OYAK in the wholesale transaction dated June 25, 2026, or the base price.
The Board requested that Hektaş's issuance document be amended to include the finalized price following the Borsa İstanbul application.
